Welcome to our website. Our principle activity is commercial software development, sales, service and support. If you continue to browse and use this website, you are agreeing to comply with and be bound by the following Terms of Use of use without modification, which together with our Privacy Policy govern FatFractal Inc. (also referred to as “FatFractal”, “we”, “us”, or “our”) relationship with you in relation to this website (the “Site”) and all of the services (described below) provided within. If you disagree with any part of these Terms of Use, please do not use our website. We also reserve the right to change or modify these Terms of Use at any time without notice. We will post any changes on this page and update the modification date accordingly. It is your responsibility to periodically review our Terms of Use to check for any changes. Your continued use of the Site and our services following the posting of any changes will constitute acceptance of the new Terms of Use. If you don’t agree to any changes or updates to this Agreement, please contact us at the address below to cancel your account.

1. License, Access and Use of the Service

1.1.  Description of the Service:  the Public Beta version of the FatFractal Platform including, but not restricted to, the NoServer™ Module (the “Services”).

1.2.  License to Use the Service:  You are hereby given a limited, terminable, non-exclusive, non-transferable, royalty-free license to access and use the FatFractal Services delivered via the Site, provided you agree to fully comply with our Terms of Use Agreement.

1.3.  Modifications:  We reserve the right to modify or discontinue any of the Services with or without notice and you agree that FatFractal will not be liable to you or any third party for any such modifications or suspension of the Services.

1.4.  Registration and Account Security:  In order to access the Public Beta version of the Services, you will need to fulfill the registration process via the Site. You agree to provide us with current and accurate information as required by the registration process. You are not authorized to register for the Services if you are under the age of 13 or without parental, guardian approval if under 18. You will be responsible for maintaining the security of your password and account after registration and you are responsible for any or all activities that occur under your account and password.  You agree to notify us immediately if there is any unauthorized use of the password or account or any security breaches. FatFractal will not be liable for any loss or damage as a result of such an occurrence.

1.5   Reasonable Use Policy: During the Public Beta, we will provide you with free usage of the Public Beta version of the Services up to the silver tier level described in our website. If you exceed the monthly usage for the proposed silver tier, we will contact you and we may require you to pay for such usage above that tier.

1.6.  General Use Policies: FatFractal may establish policies and guidelines regarding the use of the Services.

1.7.  Termination:  FatFractal has the right to terminate your account and the license granted to you to use our Services without notice should there be any breach of the Terms of Use within this Agreement.   You also have the right to cancel or terminate this agreement by discontinuing use of the Site.

2. Conditions of Use and Restrictions

2.1.  Responsibility of Users:  You are entirely responsible for any executable files, video, images, information, data, messages or other material (“Content”) that you upload, post, publish or use via the Site and any harm resulting from that Content.  You hereby represent and warrant that the downloading and use of all such Content will not (i) infringe any copyright, patent, trademark, trade secret, or other proprietary right of any party (ii) be, harmful, threatening, abusive, harassing, excessively violent, defamatory, vulgar, obscene, pornographic, invasive of another’s privacy, hateful racially, ethnically or otherwise (iii) contain or install any software viruses, worms, malware, Trojan horses or other harmful or destructive content (iv) constitute unsolicited or unauthorized advertising in the form of “spam”, “junk mail”, “pyramid schemes” or any other form of solicitation, or to further unlawful acts (such as phishing) or mislead recipients as to the source of the material (such as spoofing) (v) restrict or inhibit any other user from using the Site.

2.2.  Restriction of Use: You also agree not to use the Services to (i) violate any applicable local, state, national or international law or regulation whether intentionally or not (ii) instigate or assist in any type of attack that will interfere with or disrupt the Services or servers or networks associated to the Services (iii) attempt to gain unauthorized access to the Services,  other accounts or servers through hacking, password mining, or any other such means (iv) attempt to access or obtain any material through any means such as reverse engineering, not intentionally provided for by the Services and (v) take any other action in using the Services that, in FatFractal’s sole determination, is inconsistent with the intended usage of the FatFractal Platform or the Services.

2.3.  Right to Remedy: In the event that one or more of the conditions in this section are violated, FatFractal has the right (though not the obligation) to (i) refuse or remove any content that, in FatFractal’s reasonable opinion, violates this Agreement or is in any way harmful or objectionable, or (ii) terminate or deny access and use of the Services to any individual or entity for any reason.

2.4.  Fees:  Should any part or all of the Services be made available for a fee,  you will be asked to select a payment plan and agree to pay FatFractal the amount specified in the payment plan in accordance with the then agreed Terms of Use.

3. Intellectual Property

3.1.  Ownership:  All copyright, trademarks and all other intellectual property rights in the Site and its content (including without limitation the design, text, graphics and all software and source codes connected with the Site) are owned by or licensed to FatFractal or otherwise used by FatFractal as permitted by law.  This Agreement does not transfer from FatFractal to you any FatFractal or third party intellectual property rights.

3.2.  Feedback:  You agree that FatFractal will have the right to unrestricted use and distribution for any purpose of any comments, ideas, suggestions and similar information provided by you to us (“Feedback”) via the Site without compensation or acknowledgement and you hereby assign to us all rights and interest in such Feedback created or provided whilst this Agreement is in force.

4. Third Party Websites and Services

The Site may include links to third party websites that are controlled and maintained by others. Any link to other websites is not an endorsement of such websites and you acknowledge and agree that we are not responsible for the content or availability of any third party sites or liable for any loss or claim that you may have against any such third party.

5. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT ANY REPRESENTATION OR ENDORSEMENT MADE AND WITHOUT WARRANTY OF ANY KIND WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, COMPATIBILITY, SECURITY, ACCURACY OR THAT ACCESS WILL BE UNINTERRUPTED OR RELIABLE. YOUR USE OF THE SERVICES IS AT YOUR OWN DISCRETION AND SOLE RISK.

6. Limitation of Liability and Indemnification

6.1.  TO THE EXTENT PERMITTED BY LAW, FATFRACTAL WILL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE OR CONSEQUENTIAL LOSS OR DAMAGE WHATEVER (INCLUDING WITHOUT LIMITATION LOSS OF BUSINESS, OPPORTUNITY, DATA, PROFITS) ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SITE.

6.2.  YOU AGREE TO INDEMNIFY AND HOLD HARMLESS FATFRACTAL, ITS CONTRACTORS AND ITS LICENSORS AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS FROM ANY LIABILITIES, COSTS, CLAIMS, DAMAGES INCLUDING ATTORNEYS’ FEES ARISING OUT OF YOUR USE OF THE SITE, INCLUDING BUT NOT LIMITED TO ANY BREACH BY YOU OF THIS AGREEMENT.

7. General Representation and Warranty

You represent and warrant that  your use of the Services will be in accordance with this Agreement along with the FatFractal Privacy Policy and with all applicable laws and regulations including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside and your use of the Site will not infringe or misappropriate the intellectual property rights of any third party.

8. General

8.1.  This Agreement shall be construed in accordance with the laws of Delaware, United States of America, without regard to its conflict of laws principles, and you hereby submit to the exclusive jurisdiction of the federal and state courts, in such state as determined by FatFractal, in connection with any dispute arising out of this Agreement.

8.2.  This Agreement constitutes the entire agreement between you and FatFractal in regard to the Services provided and supersedes all prior agreements whether electronic, oral or written in respect of any or all of the Services.

8.3.  If it is determined that any of these Terms of Use are invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed and the remaining Terms of Use shall survive and remain in full force and effect and continue to be binding and enforceable.
